1) PRICING:
Prices are subject to change without notice. In the event of a price increase all orders on hand will be filled at lower prices provided
such orders are released from shipping prior to the price increase. If the orders are not released for shipment prior to the price increase,
the orders will be billed at prices in effect at the time of the shipment. Minimum billing is 100$ net.
2) TAXES:
Prices exclude taxes. GST & PST (where applicable) are not included in prices.
3) BACKORDERS:
All backorders will be cancelled after 3 months.
4) PAYMENT TERMS:
All Stanpro payment terms are Net 30 days.
5) FREIGHTALLOWANCE:
Shipments are F.O.B our plant minimum prepaid $1,500.00 for all major points within Canada with the following
exceptions: Montreal, Toronto (GTA) and Vancouver $500.00. All orders having a distributor price less than the minimum mentioned above
will be assessed freight and handling charges. Special customer shipping requirements that cause additional shipping expenses above normal
may be charged for the additional cost.
6) TRANSPORTATION CLAIMS:
All our products are factory tested to be free from defects prior to shipping. Title passes to purchaser upon
delivery by us to transporter, and all claims for damages or shortages in transit shall be made by the purchaser with delivering transport
company. Our customer service personnel will be glad to assist in any way in the advent that purchaser requires assistance.
7) RETURN OF MERCHANDISE:
Merchandise may not be returned without prior written notice. Requests to return merchandise must be made
within 60 days of receipt of goods. All returns must be shipped prepaid to Stanpro. Credit will be issued based on the original invoice price,
or price in effect at time of return, whichever is lower, less minimum restocking charge of 35%. All non stocking, special, custom made or
modified versions of normal stocking items are not returnable.
8) CANCELLATION CHARGES:
Orders for stocking items may be cancelled prior to shipping without charge. All other orders may not be cancelled
unless Stanpro is reimbursed for work already performed and for special material purchased by our company. If an order is cancelled
after shipment or if delivery is refused at destination, all warehouse, delivery, and return costs will be charged to the customer.
LIMITED PRODUCT WARRANTY: All products sold by Stanpro will be free of defects in material and workmanship under normal use
and service at the time of shipment from Stanpro. If found to be defective by Stanpro, we will repair or replace the non-conforming part,
or we will replace the entire product. Replacement is done at the discretion of Stanpro. Returns MUST have the Stanpro assigned RMA
number clearly marked on the carton. The offer to repair or replace non-conforming products under warranty does not cover defects caused
by improper use or installation, or by the buyer's attempts to use products beyond their mechanical, thermal or electrical capacity. Notice of
a defective product must be given to Stanpro in writing immediately upon the discovery of the defect, but in no event more than the following
amount of time after shipment by Stanpro:

All freight costs incurred in shipping parts to or from Stanpro are at the expense of the customer
Our guarantee liability extends only to the repair or replacement of the defective part and no labour charges for correction of the defect by
repair or replacement will be honoured by Stanpro unless prior written consent has been authorized by our customer service department.
*All replacement parts sold for use on products not covered under warranty will not be covered under guarantee.
Stanpro will endeavour to furnish such advice as it may be able to supply with reference to the use by buyer of any material purchased, but
Stanpro makes NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO ANY MATERIALS PURCHASED and assumes
no liability for advice given verbally or in print or the results obtained. Buyer assumes all risk and liability which may result from the use of
any material, whether used singly or in combination with other products. No suggestion for product use shall be constructed as a
recommendation for it use in infringement on any existing patent.
Stanpro will not accept any liability for claims for labour costs, loss profit, repairs or other expenses incidental to replacement.
THE LIMITED WARRANTY OF STANPRO IS EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED STATUTORY, OR IMPLIED INCLUDING,
THE WARRANTY OF MERCHANTIBILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND OF ALL OTHER LIABILITIES OR OBLIGATIONS ON STANPRO’S
PART, INCLUDING LIABILITY FOR INCIDENTAL, SPECIAL AND CONSEQUENTIAL DAMAGES WITH RESPECT TO THE SALE OR USE OF THE
PRODUCTS WARRANTED WHETHER OR NOT SUIT OR OTHER PROCEEDINGS BE INSTITUTED, AND STANPRO NEITHER ASSUMES NOR AUTHORIZES
ANY REPRESENTATIVE OF STANPRO OR ANY OTHER PERSON TO ASSUME FOR IT ANY OTHER LIABILITIES IN CONNECTION WITH THE SALE
OF THE PRODUCTS. THIS LIMITED WARRANTY MAY NOT BE VERBALLY CHANGED OR MODIFIED BY ANY REPRESENTATIVE OF STANPRO.
Stanpro Lighting systems warrants that the induction lamp system shall be free from defect in
material and workmanship for the time period below as measured from the date of
manufacture stamped on the electronic ballast and lamp tube:
For fixtures shipped with induction lamp system the warranty will be as follows if the ambient
temperature (where the induction lamp system is to be running) does not exceed 40°C
10 Years or 60,000 hours on the Induction Lamp and HX generator
(whichever occurs first) *
The temperatures stated above shall be determined by installing the induction lamp system in
the field. Stanpro shall replace any defective induction lamp system at no charge.
(provided that it is covered under the terms and conditions of this limited warranty).
Any simulated field condition test concerning any induction lamp system which is claimed to
be defective must be mutually agreed upon in writing. Stanpro has the right of being notified
and has the right to be represented at all such tests.
* 5 year complete limited warranty and 5 year additional pro-rata.
Warranty Conditions
Stanpro extends this limited warranty only to the original purchasers or end users. This is a
complete warranty for the induction lamp system and fixtures manufactured by Stanpro
unless it is provided in a separate agreement between you and Stanpro.
Stanpro does not warrant the installation, maintenance, or service of the induction lamp
system and fixtures. Stanpro shall not be responsible for any ancillary equipment not
furnished by Stanpro, which is attached to or used in connection with the induction lamp
system and fixtures, or for the operation of the induction lamp and the fixtures with any
ancillary equipment. All such equipment should be excluded from this limited warranty.
Furthermore, Stanpro shall not be responsible for any damage to the induction lamp system
and the fixtures resulting from the use of any ancillary equipment not furnished by Stanpro for
use with the induction lamp system and the fixtures.
What This Warranty Does Not Cover
This limited warranty is conditioned upon the proper storage, installation, use and
maintenance of the induction lamp system and fixtures, and conformance with any
recommendations of Stanpro. Stanpro does not assume any labor costs in reference to the
induction lamp system or fixture. In particular, this limited warranty is not applicable to any
induction lamp system which is not installed and operated in accordance with the application
guidelines
How to Obtain Warranty Service?
If it appears within the time periods stated above from the date of manufacture that an
installed induction lamp system and fixtures does not meet the limited warranty set forth
above, the purchaser shall notify Stanpro by the telephone: 1-866-280-2332 or by email:
service@stanprols.com, of its warranty claim, and after receiving proper authorization, return
the defective induction lamp system and the fixtures to the specified return location.
General Provisions
This limited warranty sets forth all of Stanpro’s responsibilities regarding the induction lamp
system and the fixtures.
Limitations of Liability, under no circumstances, whether as a result of breach of contract,
breach of warranty, strict liability or otherwise, will Stanpro not be liable for consequential,
incidental, special or exemplary damages, including, but not limited to, loss of profits, loss of
use or damage to any property or equipment, cost of capital, cost of substitute product,
facilities or services, down time costs or claims from claimant’s customers.
Stanpro’s liability for all claims of any kind or for any loss or damages arising out of, resulting
from or concerning any aspect of this warranty or from the induction products or services
furnished hereunder, shall not exceed the price of the specific induction lamp system and the
fixture products which gives right to the claim.
FOR A PARTICULAR PURPOSE, ARE LIMITED TO THE DURATION OF THIS LIMITED
WARRANTY. IN NO EVENT SHALL STANPRO BE LIABLE FOR DAMAGES IN EXCESS
OF THE PURCHASE PRICE OF THE INDUCTION LAMP SYSTEM AND FIXTURE, FOR
ANY LOSS OF USE, LOSS OF TIME, INCONVENIENCE, COMMERCIAL LOSS, LOST
PROFITS OR SAVINGS OR OTHER INCIDENTAL, SPECIAL OR CONSEQUENTIAL
DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE SUCH INDCUTION LAMP
SYSTEM AND THE FIXTURE TO THE FULL EXTENT THAT SUCH MAY BE DISCLAIMED
BY LAW.
Stanpro Lighting Systems warrants their LED products comply with its published
product specifications and and will be free from defect in material and workmanship
for a period of five (5) years (L70)from the date of manufacture by Stanpro Lighting Systems.
This express limited warranty is extended by Stanpro Lighting Systems only to the original or first end-user purchaser at the original installed location, and warranty claims must be made in accordance with Stanpro Lighting Systems Return and Repair Procedures.
Should any defects be found, Stanpro Lighting Systems will, at its option, either repair or replace the defective part or parts or else make available a new replacement unit that will provide equal or better performance.
This warranty is conditioned upon proper installation, use and maintenance. This warranty is not applicable to any LED fixture which is not installed and operated in accordance with the current edition of The National Electrical Code (NEC), the Standards for Safety of Underwriters’ Laboratories, Inc. (UL) and with Stanpro Lighting Systems instructions and guidelines. This warranty is also not applicable to any LED fixture subjected to abnormal stresses and operating conditions. In addition, overvoltage and lightning protection devices must be in place.
Limitations of Liability, under no circumstances, whether as a result of breach of contract, breach of warranty, strict liability or otherwise, will Stanpro be liable for consequential, incidental, special or exemplary damages, including, but not limited to, loss of profits, loss of use or damage to any property or equipment, cost of capital, cost of substitute product, facilities or services, down time costs or claims from claimant’s customers.
Stanpro’s liability for all claims of any kind or for any loss or damages arising out of, resulting from or concerning any aspect of this warranty or from the LED products or services furnished hereunder, shall not exceed the price of the specific LED system and fixture which gives right to the claim.
IN NO EVENT SHALL STANPRO BE LIABLE FOR DAMAGES IN EXCESS OF THE PURCHASE PRICE OF THE LED FIXTURE, FOR ANY LOSS OF USE, LOSS OF TIME, INCONVENIENCE, COMMERCIAL LOSS, LOST PROFITS OR SAVINGS OR OTHER INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE SUCH LED FIXTURE TO THE FULL EXTENT THAT SUCH MAY BE DISCLAIMED BY LAW.
